1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Fundizr Inc. ("Fundizr," "we," "us," or "our"), concerning your access to and use of the Fundizr application and website (the "Platform").

By accessing the Platform, you agree that you have read, understood, and agree to be bound by all of these Terms and Conditions.

2. The Platform and Services

Fundizr provides an AI-powered matchmaking service connecting startup founders with potential investors. We provide a directory, search tools, and analytics.

DISCLAIMER: Fundizr is not a registered broker-dealer, investment advisor, or crowdfunding portal. We do not participate in negotiations or execution of transactions, nor do we offer, sell, or endorse any securities. The Platform is for informational and networking purposes only. Any investment decisions made are entirely at your own risk.

Verification Disclaimer: Fundizr does not verify the identity, legitimacy, or accreditation status of investors or startups. Users must conduct their own due diligence before entering any business or investment agreement.

No Funding Guarantee: Fundizr does not guarantee funding, investment, or successful connections between founders and investors. The platform only facilitates discovery and networking.

3. User Representations and Responsibilities

By using the Platform, you represent and warrant that:

• All registration information you submit is true, accurate, current, and complete.
• You will maintain the accuracy of such information.
• Minimum Age: You must be at least 18 years old to use the Platform and enter into legally binding agreements.
• You have the legal capacity to comply with these Terms and Conditions.
• You will not access the Platform through automated or non-human means without prior written permission (bots, scripts).
• You will not use the Platform for any illegal or unauthorized purpose.
• Information submitted containing pitch decks or financial data does not violate any third-party confidentiality agreements or IP rights.

Account Termination: Fundizr reserves the right to suspend or terminate accounts that violate these Terms or misuse the Platform.

4. Subscriptions and Payments

Certain features of the Platform (such as extensive AI matchmaking and saving opportunities) are offered only to paid subscribers.

• Billing: Subscriptions are billed on a recurring monthly or annual basis via our payment processor (Razorpay).
• Cancellations: You may cancel your subscription at any time through your Profile settings. The cancellation will take effect at the end of the current paid term.
• Refunds: All payments are non-refundable unless otherwise required by law or specified explicitly during the checkout process.

5. Intellectual Property Rights

Unless otherwise indicated, the Platform—including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics—are owned or controlled by us and are protected by copyright and trademark laws. You retain ownership of your specific uploaded startup data and pitch decks.

6. Limitiation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of India. Any disputes arising from the use of the Platform shall be subject to the exclusive jurisdiction of the courts of Prayagraj, Uttar Pradesh, India.
